Routario Terms of Service
Effective date: 8 June 2026
These Terms of Service govern access to and use of Routario, a B2B SaaS service provided by JM Ventures s.r.o., unless a later operating entity is specified in the applicable Order Form.
1. Parties
Provider means JM Ventures s.r.o., Company ID 07458240, with registered office at Pod Havránkou 656/10a, Troja, 171 00 Prague 7, Czech Republic, represented by Ing. Jakub Minks, PhD., Executive Director.
Customer means the legal entity identified in the applicable Order Form.
Routario is intended for business use only. These Terms are not intended for consumer contracts.
2. Agreement Structure
The Agreement consists of:
- the applicable Order Form;
- these Terms of Service;
- the Data Processing Agreement;
- the SLA and Support Policy;
- the Price List;
- the Subprocessor List; and
- any signed Statement of Work or other written appendix.
If documents conflict, the order of precedence follows the Order Form unless mandatory law requires otherwise.
3. Service Description
Routario is a software-as-a-service platform for AI-supported business operations, project memory, process automation, CRM-like records, document processing, workflows, and related business context management.
The specific modules, usage limits, support level, fees, and subscription term are set out in the Order Form.
4. Access Rights
Subject to payment and compliance with the Agreement, the Provider grants the Customer a non-exclusive, non-transferable, limited right to access and use Routario during the subscription term for the Customer’s internal business purposes.
The Customer may permit its authorized users to access Routario. The Customer is responsible for its users’ compliance with the Agreement.
5. Customer Responsibilities
The Customer is responsible for:
- the accuracy, legality, and quality of Customer Data;
- ensuring it has all required rights and legal bases to upload, store, process, and instruct Routario to process Customer Data;
- configuring user access rights appropriately;
- keeping login credentials secure;
- reviewing AI-generated or AI-assisted outputs before relying on them;
- complying with applicable law, including data protection, employment, confidentiality, and sector-specific obligations.
The Customer must not use Routario for unlawful, harmful, deceptive, infringing, or abusive purposes.
6. Customer Data
Customer Data means all data, documents, records, text, files, prompts, outputs, metadata, CRM records, contact details, project notes, and other content submitted to, stored in, generated through, or processed by Routario on behalf of the Customer.
As between the parties, the Customer retains all rights in Customer Data. The Provider may access, host, store, transmit, process, copy, display, and use Customer Data only as necessary to provide, secure, support, maintain, improve, and operate Routario, and as otherwise permitted by the Agreement or law.
The Provider does not sell Customer Data.
7. Personal Data and CRM Content
Routario may be used to store and process personal data about business contacts, employees, prospects, clients, suppliers, and other individuals. This may include names, contact details, roles, employers, notes, relationship context, preferences, meeting history, and other information entered or imported by the Customer.
For Customer Data, the Customer is generally the controller and the Provider acts as processor. The Data Processing Agreement applies to such processing.
The Customer must not intentionally upload special-category personal data, criminal-offence data, highly sensitive private information, or children’s data unless expressly agreed in writing and supported by a valid legal basis.
8. AI Features
Routario may include AI-assisted features, including summarization, extraction, classification, drafting, recommendations, workflow generation, and data enrichment.
The Customer acknowledges that AI outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for a specific purpose. The Customer must review and validate outputs before using them for decisions, communications, legal obligations, financial decisions, employment decisions, or customer-facing actions.
The Provider does not provide legal, tax, accounting, medical, financial, or professional advice through Routario.
9. Usage Restrictions
The Customer must not:
- reverse engineer, decompile, or attempt to extract source code from Routario;
- circumvent usage limits or security controls;
- use Routario to build a competing service except with the Provider’s written consent;
- upload malware or harmful code;
- use Routario to unlawfully monitor, profile, or discriminate against individuals;
- use Routario for spam, phishing, fraud, or unauthorized scraping;
- interfere with service integrity, performance, or availability;
- resell or sublicense access except as agreed in the Order Form.
10. Third-Party Services and Integrations
Routario may integrate with third-party services, including hosting providers, AI model providers, analytics, email, monitoring, authentication, CRM, productivity, and automation tools.
The Customer is responsible for its own third-party accounts and configurations. The Provider is not responsible for third-party services outside its control, although it will use reasonable efforts to select appropriate subprocessors and integration partners.
11. Security
The Provider will maintain reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, loss, misuse, and alteration.
Security measures may include access controls, encryption in transit, backup practices, logging, role-based permissions, vendor controls, and monitoring. Specific measures may be described in the DPA or security documentation.
12. Support
Support is provided according to the Customer’s support tier in the Order Form and the SLA and Support Policy.
Response targets are acknowledgement targets, not guaranteed resolution times, unless expressly stated otherwise.
13. Availability and Maintenance
The Provider will use commercially reasonable efforts to make Routario available according to the applicable support and SLA tier.
The Provider may perform planned maintenance. Where reasonably possible, planned maintenance will be communicated in advance via email, in-app notice, status page, or other appropriate channel.
Emergency maintenance may be performed without prior notice where needed to protect security, stability, or data integrity.
14. Fees and Payment
Fees, billing period, payment terms, and usage limits are specified in the Order Form or Price List.
Unless stated otherwise, fees are exclusive of VAT and other applicable taxes.
If the Customer fails to pay overdue amounts after notice, the Provider may suspend access to Routario until payment is made.
15. Subscription Term, Renewal, and Termination
The subscription term is specified in the Order Form.
Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial term unless either party gives notice of non-renewal at least 30 days before the end of the then-current term.
Either party may terminate the Agreement for material breach if the breach is not cured within 30 days after written notice.
The Provider may terminate or suspend access immediately where necessary to prevent unlawful use, security risk, material harm, or non-payment after notice.
16. Data Export and Deletion
After termination or expiry, the Provider will make Customer Data available for export for 30 days, unless a different period is stated in the Order Form.
After the export period, the Provider may delete Customer Data from active systems, subject to backup retention, legal obligations, accounting records, security logs, and legitimate business record retention.
17. Confidentiality
Each party may receive confidential information from the other party. The receiving party must protect confidential information using reasonable care and may use it only for purposes of performing or receiving the Agreement.
Confidential information does not include information that is public, independently developed, lawfully received from a third party, or already known without confidentiality restriction.
18. Intellectual Property
The Provider and its licensors retain all rights in Routario, including software, designs, workflows, documentation, templates, know-how, models, and service improvements.
The Customer retains rights in Customer Data.
The Customer grants the Provider a limited right to use feedback, suggestions, or improvement ideas without restriction or compensation, provided this does not disclose Customer confidential information.
19. Beta Features
The Provider may offer alpha, beta, experimental, preview, or early-access features. Such features may be incomplete, changed, suspended, or discontinued at any time.
Beta features are provided without SLA, warranty, or commitment, unless expressly agreed otherwise.
20. Warranties and Disclaimers
Each party represents that it has authority to enter into the Agreement.
Except as expressly stated, Routario is provided on an “as is” and “as available” basis to the maximum extent permitted by law. The Provider does not warrant that Routario will be error-free, uninterrupted, or that outputs will be accurate or fit for a specific purpose.
21. Limitation of Liability
To the maximum extent permitted by law, the Provider’s aggregate liability arising out of or related to the Agreement is limited to the fees paid by the Customer under the applicable Order Form during the 12 months preceding the event giving rise to liability.
Neither party is liable for indirect, incidental, consequential, special, punitive, or lost-profit damages, loss of goodwill, loss of business opportunity, or loss of data, except where such limitation is not permitted by law.
Nothing in the Agreement limits liability that cannot be limited under applicable law, including liability for intentional misconduct or gross negligence where mandatory law so provides.
22. Assignment and Future Routario Entity
The Customer agrees in advance that the Provider may assign or transfer this Agreement, including rights and obligations, to an affiliated company, successor entity, purchaser of the Routario business, or dedicated Routario operating company, provided that such entity assumes the Provider’s obligations and the Customer’s rights are not materially reduced.
The Customer may not assign the Agreement without the Provider’s prior written consent, except to a legal successor in connection with merger, reorganization, or sale of substantially all assets, provided the successor is not a competitor of the Provider and assumes all obligations.
23. Changes to Terms
The Provider may update online policies from time to time. Material changes that adversely affect existing Customers will be communicated in advance where reasonably practicable.
For signed Order Forms, commercial terms such as fees, subscription term, support tier, and usage limits may be changed only according to the Agreement or by written agreement.
24. Governing Law and Courts
The Agreement is governed by the laws of the Czech Republic, excluding conflict-of-law rules.
Disputes arising out of or related to the Agreement will be resolved by the competent courts of the Czech Republic. The parties may specify Prague courts in the Order Form where permissible.
25. Notices
Legal notices must be sent to the addresses or emails specified in the Order Form or published legal contact details. Operational notices may be provided by email, in-app notification, support portal, or status page.
26. Entire Agreement
The Agreement constitutes the entire agreement between the parties regarding Routario and supersedes prior discussions, proposals, or understandings regarding the same subject matter.
